By subscribing to, accessing, or utilizing the DocReport KSA platform, you ("Subscriber", "Practice", "Clinic", or "User") agree to be bound by these B2B Terms of Service. These Terms form a legally binding contract between your medical practice and Be Smart Global, LLC. If you do not agree to these terms, you must immediately cease all access and use of the platform.

This Service is a professional clinical administrative support tool driven by artificial intelligence. It is designed and provided **strictly for licensed medical practitioners, dentists, clinics, and healthcare centers** operating in the Kingdom of Saudi Arabia. It is not intended for use by individual patients, and does not provide direct medical advice, diagnoses, or pharmaceutical treatment paths.

By utilizing the clinical AI features of the platform, the Subscriber explicitly covenants and agrees to the following:

• 100% Diagnostic and Clinical Liability: The platform acts solely as an automated scribe and billing auditor. The final clinical judgment, diagnosis, medical chart entry, and therapy path remain 100% the liability of the licensed practitioner. The AI does not practice medicine.
• Mandatory Output Verification: The Subscriber must thoroughly review, check, edit, and approve all AI-generated records (including SOAP notes, diagnostic summaries, and Nafis HL7/FHIR payloads) before committing them to a patient's official electronic health file or submitting claims to insurance carriers.
• Local Privacy Safeguards: Under Saudi Arabia PDPL, the practice must ensure that the local Zero-Trust Privacy Shield is active on all local devices. The practice is solely responsible for maintaining the absolute security of its local AES-GCM encryption keys and clinical browser sessions.

DocReport KSA services are provided on a monthly subscription model, priced in Saudi Riyal (SAR). Subscribing practices are billed as follows:

• Premium Plan: 1,299 SAR per month (billing ID: `price_1Td8PyFmPZ7yClRJGBr9Aixj`).
• Ultimate Plan: 4,999 SAR per month (billing ID: `price_1Td8QxFmPZ7yClRJoZijq0u5`).

All subscriptions are processed securely using our Stripe payment integration, operating under our American LLC account (*Be Smart Global, LLC*). Subscription fees are charged in advance and are strictly non-refundable due to the immediate digital provision of AI resources, unless otherwise required by applicable Saudi laws.

THE PLATFORM AND ALL AUTOMATED CLINICAL LOGS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND ACCURACY.

IN NO EVENT SHALL BE SMART GLOBAL, LLC, ITS DIRECTORS, OR ITS AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES (INCLUDING LOSS OF REVENUE, REGULATORY FINES, MALPRACTICE CLAIMS, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH THE USE OF AI-GENERATED TRANSCRIPTS OR CLINICAL SUMMARIES.

These Terms, their interpretation, and any legal disputes arising from the use of DocReport KSA shall be governed by and construed in accordance with the laws of the **State of Delaware, USA**, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of this agreement shall be settled by binding arbitration in Delaware in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA).
